Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Vakilis’s website, cloud applications, and mobile apps (the “Services”). By creating an account, accepting an invitation, or using the Services, you agree to these Terms.
1. The Services
Vakilis provides tools for legal professionals to manage cases, hearings, documents, clients, and related workflows, including optional AI-assisted features. We may modify, suspend, or discontinue parts of the Services with reasonable notice where practicable.
2. Eligibility and accounts
You must have authority to enter these Terms (e.g. as an individual professional or on behalf of your organisation). You are responsible for safeguarding credentials and for all activity under your account. Notify us promptly of unauthorised use.
3. Customer Content
You retain ownership of content you submit (“Customer Content”). You grant us a licence to host, process, back up, and display Customer Content solely to provide and improve the Services, including running features you request (such as AI analysis). You represent that you have the rights needed to submit Customer Content and that its processing under these Terms does not violate applicable law or third-party rights.
4. AI features
AI-generated outputs are informational and assistive only. They are not legal advice, do not create an attorney–client relationship with Vakilis, and may be inaccurate or incomplete. You must review and validate all outputs before relying on them in practice or in court. You are responsible for compliance with professional and court rules in your jurisdiction.
5. Acceptable use
You agree not to:
- Use the Services in violation of law or professional obligations.
- Attempt to gain unauthorised access, probe, or stress systems without permission.
- Upload malware or content you do not have rights to use.
- Misrepresent identity, harass others, or scrape the Services at scale without consent.
- Reverse engineer the Services except where mandatory law allows.
6. Subscriptions and fees
Paid plans, trials, and billing terms are presented at signup or in your workspace settings. Fees are non-refundable except as required by law or stated in a separate agreement. Failure to pay may result in suspension of access.
7. Confidentiality and security
We implement measures designed to protect Customer Content as described in our Privacy Policy. You should use strong passwords and workspace access controls appropriate for confidential legal information.
8. Third-party services
The Services may integrate third-party services (e.g. cloud hosting, payment, sign-in). Their use is subject to those providers’ terms. We are not responsible for third-party services outside our reasonable control.
9. Disclaimer of warranties
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VAKILIS AND ITS AFFILIATES, OFFICERS, AND EMPLOYEES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES. OUR AGGREGATE LIABILITY FOR CLAIMS RELATING TO THE SERVICES IN ANY TWELVE-MONTH PERIOD WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICES IN THAT PERIOD OR (B) A REASONABLE MINIMUM WHERE REQUIRED BY LAW.
11. Indemnity
You will defend and indemnify Vakilis against claims arising from your Customer Content, your misuse of the Services, or your violation of these Terms, subject to applicable law.
12. Termination
You may stop using the Services at any time. We may suspend or terminate access for breach, risk, or legal requirements. Provisions that by nature should survive (e.g. liability limits, indemnity) will survive termination.
13. Governing law
These Terms are governed by the laws of India, without regard to conflict-of-law rules. Courts at Bengaluru, Karnataka shall have exclusive jurisdiction, subject to mandatory consumer or professional protections that cannot be waived.
14. Changes
We may update these Terms. We will post the new version and update the “Last updated” date. Continued use after changes constitutes acceptance where permitted by law.
